VoraRoute is software that carries a signal to your own brokerage account. You keep the account, the money, and every decision about risk. Section 4 is the risk disclosure — please read it.
Two things to know before you read further. Section 4 discloses the risks of automated futures trading, including the risk of losing more than you deposit. Section 19 contains a binding arbitration clause and a class-action waiver, which means you give up the right to a jury trial and to participate in a class action. You have 30 days from first accepting these Terms to opt out of arbitration; section 19 explains how.
These Terms form a binding agreement between you and MBF Group LLC, a limited liability company registered in Wyoming ("VoraRoute", "we", "us"). By creating an account or using the service you accept them. If you do not accept them, do not use the service. Our Privacy Policy is incorporated into these Terms by reference.
VoraRoute is order-routing software. It receives trading signals, applies the settings and limits you have configured, and — for each brokerage account you have separately authorized and switched on — submits corresponding orders to your broker through that broker's official interface.
You open and own the brokerage account, and it stays in your name at your broker. You authorize VoraRoute at your broker and can withdraw that authorization at any time. You choose which accounts are active, what size to trade, and what limits apply. You can pause all routing instantly from any screen. Every signal and every outcome is recorded in a log you can read and export.
Orders are executed, cleared, and settled entirely by your broker. Your money never passes through VoraRoute.
VoraRoute is not a broker, a futures commission merchant, an introducing broker, or a clearing firm. It is not a commodity trading advisor, commodity pool operator, investment adviser, or broker-dealer, and it is not registered as any of those.
It is not a source of trading advice or recommendations, and nothing produced by the service is a recommendation to buy or sell anything. It is not a discretionary account manager: we do not decide what to trade on your behalf and we do not exercise judgement over your account. It is not a copy-trading or mirror-trading service — there is no master account whose fills are replicated into follower accounts, and there is no pooling of funds. It is not a custodian, and we never hold, receive, or transmit client money.
We are compensated only through a flat subscription fee. We receive no commission, no share of profits, and nothing that varies with how your account performs.
Trading futures and options on futures involves substantial risk of loss and is not suitable for every investor. You can lose more than your initial investment. You should trade only with capital you can afford to lose entirely.
Automated order routing does not reduce that risk. It removes delay and manual steps, which means losses can accumulate faster than they would if you were placing each order yourself, and orders are submitted without any manual review at the moment they are sent.
Automation can also fail in ways manual trading does not. Those failures include, without limitation: signals arriving late, arriving more than once, or not arriving at all; software faults or configuration errors on either side; loss of connectivity between the signal source, VoraRoute, and your broker; outages or degraded performance at your broker or an exchange; latency between the moment a signal is generated and the moment an order reaches the market; slippage; partial fills; rejected orders; and rapid price movement that carries a position well past the level implied by the signal.
Past performance of any strategy, whether real or simulated, is not indicative of future results. Simulated or hypothetical results have inherent limitations: they are prepared with the benefit of hindsight, and no simulated record can fully account for financial risk, emotional pressure, or actual market conditions. No representation is made that any account will or is likely to achieve any particular result.
It is your sole responsibility to decide whether automated trading is appropriate for your financial situation and level of experience. By enabling routing on an account, you confirm that you have read this disclosure, that you understand it, and that you accept these risks.
Any testimonial, review, or user comment appearing on our website or in our materials reflects that individual's own experience. It may not be representative of other users, and it is not a guarantee of future performance or success. Individual results vary with experience, skill, risk management, market conditions, and other factors outside our control.
We do not publish performance records for any strategy as an inducement to subscribe, and nothing on our website should be read as a projection or promise of returns.
VoraRoute is an independent software provider. Any broker, clearing firm, exchange, proprietary trading firm, or signal platform named in our materials or supported by the service is a separate and independent company. Naming them describes technical compatibility only. It does not mean they are affiliated with us, that they endorse us, that they sponsor us, or that they have reviewed or approved the service.
All trademarks and brand names belong to their respective owners and are used only to identify those companies.
Your relationship with your broker and, if applicable, your proprietary trading firm is governed entirely by your agreement with them. We are not a party to it, we cannot vary it, and we cannot resolve disputes arising under it.
You must be at least 18 years old and legally able to enter into this agreement. You must hold, in your own name, a brokerage account that is eligible for programmatic access under your broker's rules. You must not be prohibited from using the service under the laws of your jurisdiction or subject to sanctions that would prohibit us from providing it. You must be using the service for your own account and not on behalf of anyone else.
Some account types, including evaluation and certain proprietary-firm accounts, are not eligible for programmatic access under broker rules. Whether an account is eligible is determined by your broker, not by us.
To connect an account you sign in at your broker's own page and approve a defined list of permissions. Your broker then issues VoraRoute a token limited to those permissions. We never receive your broker password.
You can stop the service at any time. Pausing halts routing for all accounts immediately without disconnecting anything. Switching off an account halts routing for that account only. Revoking removes the authorization entirely, and can be done from VoraRoute or from your broker.
Pausing, switching off, and revoking all stop new orders. None of them close positions that are already open. Closing an open position is your responsibility and can always be done directly with your broker.
You are responsible for all orders placed in your account through the service, whether or not you were watching at the time.
The service can apply limits you configure — daily and weekly loss limits, profit caps, order caps, position caps, and active hours. When a signal would breach a limit, the signal is skipped and recorded in your log. It is never resized or altered.
Limits are checked before an order is submitted, and they cannot control what happens after that. Market gaps, slippage, partial fills, and fast-moving conditions can carry a position past a limit between two orders. A limit is a control on what the service will send, not a guarantee about your account balance. Limits also depend on data returned by your broker: if that data is delayed or unavailable, a limit may be applied late or not at all.
The service is provided on a flat subscription basis at the rate shown when you subscribe. Fees are billed in advance for each period and are non-refundable except where required by law or where we terminate without cause under section 17.
We charge no commission, take no share of trading profits, and receive no payment that depends on your trading outcomes. Your broker's own commissions, exchange fees, market data fees, and platform charges are separate and are billed by them.
You are responsible for any sales, use, value-added, withholding, or similar taxes arising from your use of the service, other than taxes on our net income. Where we are required to collect such taxes, they will be added to your invoice.
We may change subscription pricing with at least [NOTICE PERIOD] days' notice by email. If you do not accept a change you may cancel before it takes effect. You can cancel at any time, and the service continues until the end of the period you have paid for.
We aim to keep the service running continuously but we do not guarantee uninterrupted availability. The service depends on systems outside our control, including your broker's platform and API, your internet connection, exchange systems, and the source of your signals.
Interruptions may occur because of maintenance, faults, network conditions, third-party outages, or events beyond our reasonable control, and during an interruption signals may not be routed. We will make reasonable efforts to notify you of connection failures at the email address on your account, but you should not rely solely on those notifications.
VoraRoute, its software, interface, documentation, name, and marks are owned by us and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to use the service for your own trading while your subscription is active.
You may not copy, modify, reverse-engineer, disassemble, decompile, resell, sublicense, or provide the service to third parties, use it to build a competing product, or solicit our users to move to a competing service, without our prior written consent.
Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Each party will protect the other's confidential information using at least the same care it uses for its own, and will not disclose it to a third party without prior written consent.
This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law — in which case the receiving party will give notice where it is permitted to do so.
The service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement.
We do not warrant that the service will meet your requirements, that it will be uninterrupted, timely, secure, or error-free, that signals will be routed without delay or omission, that orders will be accepted or filled, or that any particular result will be achieved.
Some jurisdictions do not allow the exclusion of implied warranties. Where that applies, any implied warranty that cannot be excluded is limited to ninety (90) days, or to such longer period as applicable law requires.
To the fullest extent permitted by law, we are not liable for any trading losses, lost profits, lost opportunity, loss of data, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any and all claims relating to the service is limited to the subscription fees you paid to us in the [PERIOD] immediately preceding the event giving rise to the claim.
Any claim arising out of or relating to these Terms or the service must be brought within two (2) years after the cause of action arose, or it is permanently barred, except where applicable law does not permit such a limit.
Some jurisdictions do not allow certain exclusions or limitations. Where that applies, the exclusions above apply only to the extent permitted and our liability is limited to the minimum permitted by law. Nothing in these Terms excludes liability for fraud or for anything else that cannot lawfully be excluded.
You agree to defend, indemnify, and hold harmless MBF Group LLC, its members, managers, officers, employees, and agents against any claim, loss, liability, or expense — including reasonable legal fees — arising from your use of the service, your breach of these Terms, your breach of your broker's or proprietary firm's rules, or your violation of any law or of any third party's rights.
You may cancel at any time from your account. Closing your account revokes every broker authorization and stops all routing. It does not close your brokerage accounts or any open position.
We may suspend or terminate your access if you breach these Terms, if we are required to do so by law or by a broker, if your use threatens the security or integrity of the service, or if your subscription is unpaid. Where circumstances allow we will give notice first. If we terminate without cause we will refund the unused portion of your current period.
Sections 3 through 6 and 13 through 21 survive termination, together with any accrued right to payment.
Please read this section carefully. It affects your legal rights. It requires most disputes to be resolved by individual arbitration rather than in court, and it waives your right to a jury trial and to participate in a class action.
Before starting formal proceedings, both parties agree to try to resolve the dispute informally. Write to support@voraroute.com describing the issue and the outcome you are seeking. If it is not resolved within sixty (60) days, either party may proceed under this section.
Any dispute arising out of or relating to these Terms or the service that is not resolved informally will be settled by binding arbitration administered by [ARBITRATION BODY] under its applicable consumer rules, before a single arbitrator, in [CITY, STATE], in English. Judgment on the award may be entered in any court of competent jurisdiction. The parties will share the cost of arbitration as those rules provide, and each party bears its own legal fees unless the arbitrator decides otherwise.
Arbitration will be limited to the dispute between you and us individually. To the fullest extent permitted by law: no arbitration may be joined with any other proceeding; there is no right or authority for any dispute to be arbitrated on a class-action basis or using class-action procedures; and there is no right or authority for any dispute to be brought in a representative capacity on behalf of the general public or any other person.
You may opt out of this arbitration section. To do so, email support@voraroute.com within 30 days of first accepting these Terms, stating clearly that you wish to opt out of arbitration and including your full name and the email address on your account. Opting out does not affect any other part of these Terms, and it will not affect your service in any way.
Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.
These Terms are governed by the laws of Wyoming without regard to conflict-of-law principles. Subject to section 19, any dispute that proceeds in court will be brought exclusively in the courts located in Sheridan County, Wyoming, and both parties consent to that jurisdiction.
We may assign or transfer these Terms, in whole or in part, including in connection with a merger or sale of assets. You may not assign them without our prior written consent.
No modification is binding unless in writing. If any provision is held unenforceable the rest remain in effect, and our failure to enforce a provision is not a waiver of it. Notices to us may be sent to support@voraroute.com; notices to you will be sent to the email address on your account. These Terms, together with the Privacy Policy, are the entire agreement between us on this subject and supersede any prior understanding.
